Choice of Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada. Except as hereinafter provided, any dispute arising under these Terms shall be settled and determined by binding arbitration in Las Vegas, Nevada in accordance with the provisions of the Federal Arbitration Act, 9. U.S.C. §§116, as amended (the “Federal Arbitration Act”), to the exclusion of state laws inconsistent therewith. The terms of the Commercial Arbitration Rules of the American Arbitration Association (the “Rules”) then in effect shall apply except to the extent they conflict with the express provisions of this paragraph. A single independent arbitrator shall conduct the arbitration. The parties shall endeavor to select the independent arbitrator by mutual agreement. If such agreement cannot be reached within thirty (30) days after a dispute has arisen which is to be decided by arbitration, the selection of the arbitrator shall be made in accordance with the Rules as then in effect. The arbitrator shall be a member of a state bar engaged in the practice of law in the United States or a retired member of a state or the federal judiciary in the United States. The award of the arbitrator shall be based on the evidence admitted and the substantive law and shall contain decision and, if appropriate, an award for each claim and counterclaim. The award shall be made within thirty (30) days following the close of the final hearing and the filing of any post-hearing briefs authorized by the arbitrator, and such award shall set forth in writing the factual findings and legal reasoning for such award. The arbitrator may, in his/her discretion, award to any party specific performance or injunctive relief (the foregoing is not intended to limit TCPAP’s access to the courts to the extent provided below). The arbitrator may not change, modify, or alter any express condition, term, or provision of these Terms or the extent the scope of their authority is expressly limited. Except as provided in the Federal Arbitration Act, the arbitration award will be final and binding upon the parties and no appeal of any kind may be taken.
Judgment may be entered thereon in any court having jurisdiction thereof. Each party shall be entitled to inspect and obtain a copy of nonprivileged relevant documents in the possession or control of the other party. All such discovery shall be in accordance with procedures approved by the arbitrator. Unless otherwise provided in the award, each party shall bear its own costs of discovery. The statute of limitations applicable under Arizona law to the commencement of a lawsuit shall apply to the commencement of arbitration hereunder. Anything in the foregoing paragraph to the contrary notwithstanding, TCPAP may seek injunctive relief in any court having jurisdiction over the parties to enjoin or prevent any action you take or threaten to take in violation of these Terms. These Terms are only those stated herein, which shall constitute the complete agreement between the parties. No terms and conditions stated in or attached to your communications to TCPAP are applicable to these Terms in any way and are not to be considered your exceptions to the provisions of these Terms.
The failure of either party to exercise, in any respect, any right provided for, herein, will not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. No agency, partnership, joint venture, or employment is created as a result of these Terms and you do not have any authority of any kind to bind TCPAP in any respect whatsoever. In any action or proceeding to enforce rights under these Terms, TCPAP will be entitled to recover costs and attorneys’ fees if it substantially prevails. All notices required hereunder shall be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or email; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested. TCPAP may give notice to you by means of a general notice on the TCPAP site or Services, electronic mail to your email address on record in TCPAP’s account information, or by written communication sent by personal delivery, fax, overnight courier, or certified or registered mail to your address on record in TCPAP’s account information.
TCPA Protect (TCPAP) operates TCPA Protect and may operate other websites. It is our policy to respect your privacy regarding any information we may collect while operating our websites.
Like most website operators, TCPA collects non-personally-identifying information of the sort that web browsers and servers typically make available, such as the browser type, language preference, referring site, and the date and time of each visitor request. TCPA’s purpose in collecting non-personally identifying information is to better understand how TCPA’s visitors use its website. From time to time, TCPA may release non-personally-identifying information in the aggregate, e.g., by publishing a report on trends in the usage of its website.
Gathering of Personally-Identifying Information
Certain visitors to TCPA’s websites choose to interact with SS in ways that require TCPA to gather personally-identifying information. The amount and type of information that TCPA gathers depends on the nature of the interaction. For example, we ask visitors who sign up to provide a username and email address. Those who engage in transactions with TCPA are asked to provide additional information, including as necessary the personal and financial information required to process those transactions. In each case, TCPA collects such information only insofar as is necessary or appropriate to fulfill the purpose of the visitor’s interaction with TCPAP. TCPA does not disclose personally-identifying information other than as described below. And visitors can always refuse to supply personally-identifying information, with the caveat that it may prevent them from engaging in certain website-related activities.
TCPA may collect statistics about the behavior of visitors to its websites. TCPA may display this information publicly or provide it to others. However, TCPA does not disclose personally-identifying information other than as described below.
Protection of Certain Personally-Identifying Information
TCPA discloses potentially personally-identifying and personally-identifying information only to those of its employees, contractors and affiliated organizations that (i) need to know that information in order to process it on TCPA’s behalf or to provide services available at TCPA’s websites, and (ii) that have agreed not to disclose it to others. Some of those employees, contractors and affiliated organizations may be located outside of your home country; by using TCPA’s websites, you consent to the transfer of such information to them. TCPA will not rent or sell potentially personally-identifying and personally-identifying information to anyone. Other than to its employees, contractors and affiliated organizations, as described above, TCPA discloses potentially personally-identifying and personally-identifying information only in response to a subpoena, court order or other governmental request, or when TCPA believes in good faith that disclosure is reasonably necessary to protect the property or rights of TCPAP, third parties or the public at large. If you are a registered user of an TCPA website and have supplied your email address, TCPA may occasionally send you an email to tell you about new features, solicit your feedback, or just keep you up to date with what’s going on with TCPA and our products. If you send us a request (for example via email or via one of our feedback mechanisms), we reserve the right to publish it in order to help us clarify or respond to your request or to help us support other users. TCPA takes all measures reasonably necessary to protect against the unauthorized access, use, alteration or destruction of potentially personally-identifying and personally-identifying information.
If TCPAP, or substantially all of its assets, were acquired, or in the unlikely event that TCPA goes out of business or enters bankruptcy, user information would be one of the assets that is transferred or acquired by a third party. You acknowledge that such transfers may occur, and that any acquirer of TCPA may continue to use your personal information as set forth in this policy.
